Terms of sale

Scope

These terms apply to any development, consulting or deployment service provided as an independent contractor, for any business or individual client who has accepted a quote. They prevail over any purchasing terms of the client, unless otherwise agreed in writing.

Quotes and orders

Each project is the subject of a detailed quote (scope, timeline, price), valid for 30 days. The order is deemed firm upon receipt of the client's written acceptance of the quote (signature or explicit written agreement) and, where applicable, of the requested deposit.

Price and payment terms

Prices are stated in euros, excluding tax where applicable depending on status. A deposit may be requested at kickoff, with the balance invoiced on delivery or according to a schedule agreed in the quote for longer engagements.

Unless otherwise stated, invoices are payable within 30 days. Any late payment may result in penalties and suspension of ongoing services, in accordance with applicable regulations.

Delivery timelines

Timelines stated in the quote are best-effort commitments, based on the information provided by the client. Any delay attributable to the client (late approvals, missing content, scope changes) pushes the schedule back accordingly, without penalty.

Client obligations

The client agrees to provide, within the agreed timelines, the information, access and content needed to carry out the project, and to review intermediate deliverables within a reasonable time so as not to block progress.

Intellectual property and deliverables

Unless otherwise stated in the quote, rights to the code and deliverables specifically developed for the client are transferred upon receipt of payment in full. Proprietary tools, libraries and methods reused across projects remain my property.

Warranty and liability

I commit to fixing, free of charge, any confirmed malfunction directly attributable to my work, reported within a reasonable time after delivery. My liability shall not exceed the amount actually received for the project concerned.

Termination

Either party may terminate the engagement in the event of a serious breach by the other party not remedied within 15 days of a written notice. Services already performed remain due in proportion to progress.

Governing law and disputes

These terms are governed by French law. In the event of disagreement, an amicable solution will be sought first before any legal action.
